SEC Rule 506(b) & 506(c) — How We Operate

Station Alpha conducts private placements under SEC Regulation D. Depending on the specific startup and offering, we may operate under either Rule 506(b) or Rule 506(c) — each with distinct requirements.

Rule 506(b) — for deals with pre-existing relationships:

  • No general solicitation or advertising permitted
  • Up to 35 sophisticated (non-accredited) investors may participate
  • Opportunities shared only through existing member relationships

Rule 506(c) — for deals with general solicitation:

  • General solicitation and advertising are permitted
  • All investors must be verified accredited investors
  • Stricter verification requirements apply

In all cases, all investors receive material information to make informed decisions, and investment discussions happen through compliant channels appropriate to the specific offering.
